1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "Client," or "User") and Innovate Media Solutions ("we," "us," or "our"), concerning your access to and use of the https://innovatemediasolutions.com website, our marketing services, our white-labeled CRM software, and any related applications (collectively, the "Services"). By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

2. Description of Services

Innovate Media Solutions provides digital marketing services, including but not limited to conversion website design, Google My Business (GMB) optimization, paid advertising management (Meta, Google), interactive estimator tool creation, and access to our proprietary lead generation and CRM software. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.

3. SMS Messaging Terms (A2P 10DLC Compliant)

Innovate Media Solutions offers SMS/MMS text messaging services to provide appointment reminders, marketing updates, lead notifications, and customer support. By opting in to our SMS program, you agree to the following terms:

  • Opt-In: Users opt-in to receive SMS messages by providing their phone number through our website forms, interactive estimators, or onboarding contracts.
  • Opt-Out / Cancellation: You can cancel the SMS service at any time. Just text "STOP" to the number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time, and we will start sending SMS messages to you again.
  • Help Instructions: If you are experiencing issues with the messaging program, you can reply with the keyword "HELP" for more assistance, or you can get help directly by calling us at (727) 304-7120.
  • Carrier Liability: Carriers are not liable for delayed or undelivered messages.
  • Message and Data Rates: As always, message and data rates may apply for any messages sent to you from us and to us from you.
  • Message Frequency: Message frequency varies depending on your account activity and campaign subscriptions.

4. User Responsibilities

By using our Services, you represent and warrant that:

  • All registration and client information you submit will be true, accurate, current, and complete.
  • You will maintain the accuracy of such information and promptly update it as necessary.
  • You will keep your CRM/Software password confidential and will be responsible for all use of your account and password.
  • You have the legal capacity to enter into these Terms and comply with them.

5. Acceptable Use & TCPA Compliance

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of our CRM and communication tools, you explicitly agree to comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.

You agree NOT to:

  • Send unsolicited marketing emails or SMS messages (Spam) through our software.
  • Upload or import purchased, scraped, or unverified contact lists into our CRM.
  • Use the Services to distribute defamatory, harassing, or illegal content.
  • Interfere with, disrupt, or create an undue burden on the Services or the networks connected to the Services.

Note: Innovate Media Solutions reserves the right to immediately suspend or terminate your account if you violate these compliance standards, which could result in our agency losing its carrier registration.

6. Intellectual Property Rights

Unless otherwise indicated, the Services, website, software, customized funnels, interactive estimators, and code built by Innovate Media Solutions are our proprietary property. We grant you a limited, non-exclusive, non-transferable license to use these assets for your internal business operations while you are an active paying Client. You do not own the underlying software code or funnel templates unless specifically transferred to you in writing. You retain all ownership rights to your personal business data, customer lists, and trademarks that you upload into our systems.

7. Disclaimers

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. INNOVATE MEDIA SOLUTIONS MAKES NO GUARANTEES OR WARRANTIES REGARDING SPECIFIC FINANCIAL RESULTS, SEARCH ENGINE RANKINGS, EXACT LEAD VOLUMES, OR RETURN ON INVESTMENT (ROI). MARKETING RESULTS VARY BASED ON MARKET CONDITIONS, BUDGET, AND INDUSTRY COMPETITIVENESS.

8. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR MAXIMUM LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

9. Governing Law

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in or nearest to Clearwater, Florida.
